Board Changes
Mollyroe plc (AQSE: MOY), which owns Cascade, the AI-native production platform built for filmmakers, creators, agencies and brands, announces that, following completion of the acquisition of Cascade Holding Limited, Paul Ryan, formerly an Executive Director of Mollyroe, has today become a Non-Executive Director of the Company and that Noel Lyons will step down from the Board as Non-Executive Director with effect from 15 October 2026. Noel’s prior focus was on working to secure a suitable acquisition target to transform the Company from an investment company into an operating business.
Commenting on the Board Changes, Dominic Wheatley, Non-Executive Chairman of the Company, said: “I would like to thank Noel Lyons for his valued contribution and commitment to the Company during his tenure, and particularly through the recent acquisition process. On behalf of the Board, I wish him all the best in his future endeavours.”
Issue of Equity
On 15 October 2026 (after the Company’s 1 for 10 share consolidation has become effective), Mr Lyons will be issued with 985,319 new ordinary shares in the Company (“New Ordinary Shares”) in lieu of notice and outstanding director’s fees. Application will be made for the New Ordinary Shares to be admitted to trading on Aquis and it is expected that admission will become effective and that dealings in the New Ordinary Shares will commence at 8.00 a.m. on 16 October 2026. The New Ordinary Shares will, on admission, rank pari passu in all respects with the existing ordinary shares in the Company and will rank in full for all dividends and other distributions hereafter declared, paid or made on the ordinary share capital of the Company.
