Result of AGM

NYCE International Plc (AQUIS: NYCE) is pleased to announce that all resolutions put to shareholders at the Company's Annual General Meeting held earlier today were duly passed.

As a result of the passing of Resolutions 6 and 9, relating to the sub-division and re-designation of shares, and the associated amendment to the Company's articles of association, this process will now be completed.  On its completion, the share capital of the Company will comprise 10,643,311 ordinary shares of 1 pence each in the capital of the Company; and 10,643,311 new deferred share of 14 pence each in the capital of the Company (a "Deferred Share"), each Deferred Share having the rights set out in the Company's articles of association as amended pursuant to Resolution 9.
