Total Voting Rights

Ajax [AQSE: AJAX], the natural resources investment company, is pleased to announce the successful completion of the equity fundraising announced on 11 December 2025.

The Company will issue 21,818,182 (the "Fundraising Shares") new ordinary shares of 1 pence each in the Company ("Ordinary Shares") at a price of 5.5 pence per Ordinary Share (the "Fundraising Price"), raising total gross proceeds of £1,200,000 (the "Fundraise Proceeds"). 

In addition, various geological consultants, investor relations advisers and introducers, as well as two Directors of the Company who are remunerated solely in equity, have agreed to settle amounts due to them, totalling £110,195, in lieu of cash through the issue of 2,003,548 new Ordinary Shares at the Fundraising Price (the "Capitalisation Shares").

An application will be made for the admission to trading on the Aquis Stock Exchange Growth Market of the Fundraising Shares and the Capitalisation Shares, with admission anticipated on or around 19 December 2025 ("Admission").

The Company is debt free and upon receipt of the net Fundraise Proceeds, is expected to have a cash position of approximately £2.6 million.

The Fundraise Proceeds are in addition to the US$400,000 (GBP equivalent) investment that Appian Capital Advisory Limited will make on completion of the acquisition of the Pereira Velho Gold Project on the same terms (as announced on 11 December 2025), following which Appian Capital Advisory Limited will become a significant shareholder in the Company.

Following Admission, the Company will have 100,727,174 Ordinary Shares in issue, each carrying one voting right. The Company does not hold any shares in treasury and therefore the total number of voting rights in the Company is 100,727,174.

This figure may be used by shareholders from Admission as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
