Gowin Capital Reduction
Gowin New Energy Group Limited announces that, pursuant to resolution 9, passed at the Annual General Meeting held on the 7 February 2017, the Company has completed the Capital Reduction, whereby 67.5624 ordinary shares of GBP 0.01 each (the "Ordinary Shares") out of every 100 Ordinary Shares held by a shareholder of the Company's issued share capital have been cancelled and extinguished. The nominal value of each share in the capital of the Company remains the same at GBP 0.01, (the "Capital Reduction").
The Capital Reduction was formally approved by the Grand Court of the Cayman Islands, on 15 August 2017. The Order of the Court has been registered with the Registrar of Companies on 24 August 2017 and, accordingly, the Capital Reduction became effective on 24 August 2017 (the "Effective Date").
Following the Capital Reduction, the issued share capital of the Company consists of 250,000,533 ordinary shares of GBP0.01 each. As a result of the Capital Reduction, new share certificates will be issued to registered shareholders of the Company showing a holding as at 24 August 2017 (the "Record Date").
The purpose of the Capital Reduction is to create distributable reserves to facilitate the payment of dividends, making the Company ordinary shares more attractive to new investors.
