PROTON PARTNERS INTERNATIONAL LIMITED

ISSUE OF EQUITY

Proton Partners International Limited (the "Company", "Proton" or "Group") has issued a notice under the Woodford Commitment, referred to in the Company's NEX Exchange Growth Market ("NEX") admission document, calling for the subscription of 14,204,545 Proton ordinary shares of £0.001 each ("Ordinary Shares") at the maximum possible price under that agreement of £1.76 per Ordinary Share, in order to raise £25 million. The funds will be used for general corporate purposes, including the potential repayment of certain loans from Shawbrook Bank Limited and to provide additional working capital for the Group.

Settlement and Dealings

Application has been made for the admission to trading on NEX of the 14,204,545 Ordinary Shares on the following basis ("Admission"):

·      1,420,455 Ordinary Shares on 11 June 2019

·      1,420,455 Ordinary Shares on 18 June 2019

·      11,363,635 Ordinary Shares on 28 June 2019

Following Admission, the Company will have 172,588,260 Ordinary Shares in issue.

The number of voting rights will vary depending on how the new Ordinary Shares are allocated by Woodford Investment Management Limited under the terms of the Woodford Commitment and further announcements will be made as appropriate.
