Matching options granted under Service Agreements
Chapel Down has granted 286,079 Options to Andrew Carter, CEO of the Company, and 392,157 Options to Rob Smith, CFO of the Company. The Options have been granted pursuant to the terms of Mr Carter and Mr Smith's service agreements when they joined the Company as CEO on 13 September 2021 and as CFO on 1 September 2022 respectively.
The Options have been granted with an exercise price of 30p, being the closing mid-price of an Ordinary Share on 10 August 2022, being the day immediately prior to Board approval of the Option grants. The Options will vest three years after the date of the grant and are not subject to any performance conditions.
Options granted under the Long Term Incentive Plan
In addition, the Company has made the following changes in respect of options over Ordinary Shares held under the Company's existing Long Term Incentives Plan:
· Mr Smith has been awarded 867,347 options, with an exercise price of 42.5p (the "LTIP Options")
· 594,117 previously awarded options with an exercise price of 42.5p, have been cancelled as holders of these options have left the Company
Following the grant of the Options and LTIP Options (together, the "Grants"), Mr Carter is beneficially interested in a total of 319,699 Ordinary Shares, representing approximately 0.2% of the Company's current issued share capital, and a total of 1,168,431 Options over Ordinary Shares. Mr Smith is beneficially interested in a total of 1,592,538 Ordinary Shares representing 1.0% of the Company's current issued share capital, and a total of 1,259,504 options over Ordinary Shares.
Following these Grants, there is a total of 5,135,559 options over Ordinary Shares outstanding, representing approximately 3.2% of the current issued share capital of the Company.
